1. Process Preparation
At this stage we prepare the deal from a structure and process point of view, understanding every aspect of the business, trying to unlock any hidden value and preparing a strategic and financial evaluation of the business.
2. Preparation of the Marketing Documentation
Here we prepare all the documentation that we are going to use in the process and that will help us to achieve your goals. This especially includes the Confidential Information Memorandum (CIM), and a series of other documents like a teaser, an non-disclosure agreement (NDA), and a process letter.
3. Investor Approach
In this stage we identify all the potential buyers, investors or targets. We produce a long list of Potential investors, leveraging on our international network, Globalscope Partners, as well as our specific sector, being financial or strategic investors. Here we also initiate a confidential approach to the selected investors.
4. Buy or Sell Due Diligence Process
Here we deliver the process as structured in the process letter, establishing a period for investors to present their Indication of Interest (IOI) or Non-Binding Offers (NBO). From this, along with our client we choose the better candidates to pass on to the Due Diligence stage, analysing the proposals from a qualitative and quantitative point of view. The due diligence process includes the management of legal, commercial, HR, Financial, Labour and Tax/Fiscal due diligence.
5. Negotiation and SPA
In this stage we negotiate with the final investor on valuation and transaction structure, which leads to a Binding Offer (BO). Immediately after, the Share Purchase Agreement (SPA) or other transaction document is negotiated and agreed, with the goal of achieving the highest possible outcome for our client.
